I, Full Name residing at Address, in consideration of my being accepted into a Vibravision training workshop (“Vibravision Workshop”) facilitated by Vibravision, LLC (“Vibravision”) as a vetted client (“Client”), agree as follows:

1. I understand and agree that during my participation as a Client in any Vibravision Workshop, I will be training in techniques, methods, and a process that were specifically developed by and are the proprietary, non-public confidential information and trade secrets of Vibravision (“Confidential Information”). I agree that this agreement, Vibravision’s proprietary training techniques and any other Vibravision content received, including but not limited to learning materials, teaching guides, the methodology for developing the preceding and other similar Vibravision materials and methods are deemed Confidential Information.

2. I understand that as a result of my participation in a Vibravision Workshop, new intellectual property will be created. This intellectual property may be, but is not limited to, new techniques, methods, and processes developed or adapted, answers to questions and solutions to challenges presented in the workshop, new slogans, or learning materials, teaching guides, and the methodology for developing the preceding and other similar materials and methods, which we collectively refer to here as “Workshop Work Product”.

3. I promise and agree that I will keep all Workshop Work Product and Confidential Information confidential and secret and will not disclose them to anyone. I promise and agree that the only exceptions to non-disclosure are if required to do so by law, but only after providing Vibravision with 14 days advance written notice prior to any such required disclosure. I agree that the obligations to maintain the confidentiality of Workshop Work Product and Confidential Information shall last forever.

4. I agree that any and all of my contributions to the Workshop Work Product constitute a work made for hire and that Vibravision is deemed the original author for purposes of intellectual property ownership. I further agree that to the extent any such contributions are not a work made for hire under applicable law, that I assign all right, title and interest in and to my contributions to the Workshop Work Product to Vibravision. I agree that as between Vibravision and myself, Vibravision will be the exclusive owner of all right, title and interest in and to the Workshop Work Product and that I am not entitled to any compensation from Vibravision’s use, distribution or sale of Workshop Work Product or any Confidential Information that I may share.

5. I agree to refrain from taking any action, either individually or in cooperation with any third party, against Vibravision or any other party that is intended to or that might diminish or encumber Vibravision’s exclusive ownership rights in the Workshop Work Product or use of Confidential Information incorporated in Workshop Work Product.

6. I agree that I will not use my participation in any Vibravision Workshop or status as a Client for any commercial purpose, without Vibravision’s written permission. I will not participate in the creation, publication, review or revision of any book, online content, literature, training course or other training material of any kind, in any medium whatsoever, that discusses any Workshop Work Product or any Vibravision training, certification, certificate, accreditation or learning content in which I have participated as a Client, without Vibravision’s written permission.

7. I agree that if any provision of this agreement is construed by a court of competent jurisdiction to be invalid or unenforceable, that construction does not affect the remainder of this agreement, which is to be given full force and effect without regard to the invalid or unenforceable provision. Any invalid or unenforceable provision is to be reformed to the maximum limitations permitted by applicable laws, so as to be valid and enforceable.

8. I agree that within 5 business days of receipt of a written request from Vibravision, I shall return any and all written Confidential Information, including but not limited to the Vibravision Training Manual, and any Workshop Work Product, and I shall destroy, and confirm in writing that I have destroyed any copies, as well as notes, analysis, summaries, or any other work product created by me, which are based upon or derived from the Confidential Information. I agree to receive notices or legal service from Vibravision at my residing address above, which I state is accurate as of this day and warrant will continue to be, until I notify Vibravision in writing of a change of address.

9. I agree that any and all disputes arising hereunder shall be exclusively governed by, construed, controlled, and interpreted in accordance with the laws of the United States of America and the laws of the State of Utah. I hereby submit to the exclusive jurisdiction of the state and federal courts of the State of Utah sitting in Salt Lake County, Utah and waive any defenses of lack of personal jurisdiction and any objections to the propriety or convenience of venue in these jurisdictions. I agree that if I breach any of my obligations under this agreement, in addition to all other rights and remedies that Vibravision LLC may have against me as stated above, Vibravision may seek an injunction against me to stop the prohibited conduct without the need to prove damages or post a bond, and I will be liable for any reasonable attorney’s fees and costs incurred by Vibravision in enforcing this agreement. I further agree to cooperate with Vibravision, at no charge, to ensure that Vibravision secures all rights granted to it under this agreement.
